PARADIGMS (FUNPEN) TYPE OF LEGAL ENTITY TO ESTABLISH: FOUNDATION
PARADIGMS.
I. NAME, DURATION, REGISTERED OFFICE AND OBJETOARTÍCULO 1 .- entity through these statutes regulating, will be called FOUNDATION paradigms, the symbol FUNPEN it is a legal entity of private non-profit, mutual benefit and interest, social development, access to the entire community, arising from exclusive private initiative by the destination of an estate, a charitable and social programs. Paradigms foundation will be organized under Colombian law and governed by them.
ARTICLE 2. ADDRESS: The Foundation is domiciled Paradigms District of Barranquilla, Atlántico Department, Colombia. If it ever came to need, the Foundation paradigms, may establish offices, branches and chapters in other cities sectional Colombia and abroad.
ARTICLE 3: DURATION: The duration of the founding paradigms is indefinido.ARTÍCULO 4. THE SOCIAL PURPOSE: The Foundation PARADIGMS, is: the provision of welfare and social development, with potential access to the entire community. Will special order:
a). Make proposals, plans and projects to integrate communities around thought processes, ways of seeing the world, to develop multiple views, placing strategic issues and learning to think and act glocal (global and local). B). Identify problems of scientific, academic, environmental, social and cultural rights of communities and implementing educational strategies for change cultural.c). Promote the creation and strengthening of academic groups, ecological, artistic and cultural development of skills, values \u200b\u200band leadership as a strategy for promoting a culture of quality, coexistence and the paz.d). Develop projects that allow the local, regional and Nacional.A). Advise, support, promote, defend, represent institutions, communities, individuals linked to processes, plans, programs and scientific projects, educational, educational, environmental and tourism, ethnic, recreational, arts and culturales.f). Design and coordinate implementation of programs and projects of formal and non formal, academic, technical, technological, artistic, environmental, ecotourism and logoturísticos, literary, recreational ... g). i). Promote projects that contribute to the social rehabilitation, prevention and rehabilitation of marginalized, vulnerable and discriminados.j). Coordinate actions, plans and programs for the protection and promotion of human rights, cultural and environmental heritage in comunidades.k). Encourage and promote research in the fields of science, pedagogical, educational, ethnic, technological, artistic, recreational, cultural, tourist and ambientales.l). in and development of its objects, the foundation may enter into contracts with natural or legal persons, national and foreign, public or private agencies to manage these projects to cultural, social and community benefit may take all actions as may be convenient or necessary to achieve the purposes set out in its object, and having direct or indirect relationship with itself, such as donations, subsidies, sponsorships, sell, compare, acquire or dispose of movable and immovable, burn them with clothing or mortgage, give or receive as a loan or loan application, receive donations, borrow money, by providing guarantees real or personal, all kinds of transactions with financial institutions, such as opening of current accounts, loans, operations that drive profitability, purchase obligations, all kinds of agreements or contracts, grant special terms for any kind of negotiations or representations with all administrative and judicial powers allowed by law.
II. ORGANIZATION, MONITORING AND CONTROL
ARTICLE 5: MANAGEMENT AND ADMINISTRATION BODIES:
The direction of the founding paradigms will be the responsibility of the board of founders and its management by the board.
The foundation will have an executive director who shall be the legal representative of the foundation. As a body to monitor and control will have a statutory auditor.
ARTICLE 6: BOARD OF FOUNDERS. The foundation will have a board of founders, which is the highest body of the foundation. Shall consist of those who signed the charter in that capacity.
ARTICLE 7: DUTIES. The functions of the board of founders:
1. Choose the board;
2. Elect the auditor and his deputy;
3. Formulate the general policy of the foundation;
4. Approve or disapprove the annual report of the board
5. Approve or disapprove the annual budget of the board
6. Approve or disapprove, when so requested by the board, the operation of new offices, departments, agencies or branches;
7. Exercise other functions of the governing body of the foundation.
ARTICLE 8: SYSTEM OF THE BOARD OF FOUNDERS
The Founders Council shall have the following general rule
1. Meeting place will meet at the main location of the foundation, in offices or at the place indicated in the notice.
2. Types of meetings: a) regular, will be made once a year within the first four months, convened by the board, made at least 15 working days before the absence of call will meet at its own administrative offices the foundation's first working day of April at (9 am)
b) extraordinary can be made as often as necessary, convened by the board, executive director of the auditor or a number less than 20% of active members, made with at least (5) working days in advance.
3. Call: the call to members to meetings of the board of trustees shall be by any of the forms authorized under the commercial code. In the case of regular meetings shall be made in advance (15) business days and for special meetings in advance of 5 ordinary days.
4. Quorum: a quorum to deliberate and decide half plus one of its members. This majority be sufficient to take any kind of decision.
5. decisions: decisions are taken by simple majority of its members.
ARTICLE 9: BOARD. The board is composed of (3) core members and their alternates.
ARTICLE 10: FUNCTIONS: are functions of the board:
1. Appoint and dismiss his chiefs.
2. Authoritatively interpret the statutes.
3. Choose the executive director and his deputy.
4. Create the jobs it deems necessary for the proper functioning of the foundation.
5. Delegate to the executive director or other official functions as it deems appropriate.
6. Authorize the Executive Director to enter into transactions or contracts for amounts exceeding three times the minimum statutory monthly wage.
7. Convene meetings of the board of founders.
8. Make decisions that are inconsistent with other organ of the foundation.
9. Other contemplating the law.
ARTICLE 11. SYSTEM BOARD
The board shall have the following general rule:
1. Venue: will meet at the main location of the foundation
2. Types of meetings:
a) Ordinary least be made (2) times per year.
b) extraordinary may be made as necessary, convened by two board members, executive director, the auditor, made with at least (3) working days in advance.
3. Quorum: a quorum to discuss (2) members.
4. Decisions: decisions are taken by simple majority of its members.
ARTICLE 12. THE LEGAL REPRESENTATIVE OF THE FOUNDATION: The foundation will have a legal representative who shall be chairman of the board, who in turn will be chief executive. This shall be the legal representative of the entity and implement the decisions of the board of founders under these statutes.
ARTICLE 13. FUNCTIONS OF THE EXECUTIVE DIRECTOR: are functions of the Executive.
1. Represent legal and judiciary to the foundation to the legal authorities, administrative bodies and legal persons and natural.
2. Convene meetings of the board
3. Sign all documents and contracts of the foundation;
4. Authorize the expenditure of the foundation within budget;
5. Open bank accounts with the respective banks and financial institutions
6. Confer powers to represent judicially or extra to the foundation to the authorities at the national, provincial or municipal level.

14. FISCAL AUDITOR
The foundation will have a tax inspector with the respective alternate, elected by the board.
ARTICLE 15. FISCAL AUDITOR FUNCTIONS.
1. Review and approve by signing the balances
2. Inspect the foundation's assets and ensure their preservation and maintenance;
3. Review and manage the accounting system, the balance and foundation projects previously submitted to the functions and signatures of the treasurer;
4. To follow up and evaluation of plans, projects and programs that the foundation below the foundation in coordination with the president of the foundation;

III. ARTICLE
HERITAGE 16. HERITAGE: ESTABLISHMENT AND MANAGEMENT: The assets of the foundation is $ 500,000 pesos. The assets of the foundation is comprised of:
1. Gifts, bequests, trusts, loans, contributions,
2. For the revenues earned through the activities of the foundation.
3. Movable and immovable property can get or buy the foundation.

ARTICLE 17. SOCIEALES CONTRIBUTIONS: The partners' social contributions are immediately concerned for the foundation and will never be refunded to contributors, or anyone else. It is clear If the foundation is profit and therefore does not distribute dividends.
IV.
DISSOLUTION AND LIQUIDATION ARTICLE 18. GROUNDS FOR DISSOLUTION OF THE FOUNDATION: The foundation was disbanded by:
1. For the reasons provided by law and the statutes;
2. Revoked or canceled by serving him recognition as a legal person;
3. By destruction of their property for the purpose for which the foundation was established;
4. Due to the impossibility of fulfilling the purpose for which it was created
5. For any other unforeseen circumstance which hinders the development and growth of the foundation.
ARTICLE 19. DELA FOUNDATION SETTLEMENT: foundation shall be dissolved upon liquidation, under the terms stipulated in Articles 18, 19 and following of Decree 1529 of 1990 or the rules regulating the matter later. The remainder of movable and immovable property resulting from the payment of all liabilities, be donated to one or more institutions of social interest and lack of profit pursuing similar objectives as determined by the founding member or the board of founders .
